    Once approved and the Stage 2 agreement is executed, we prepare and electronically submit the incorporation petition. You pay the state fee directly to the register.

    Ongoing administration

    Registered address, contact person and mail forwarding run for a 12-month term and renew annually. Accounting runs alongside.

Registered address, contact person and accounting

A company whose management board does not reside in Estonia needs an Estonian registered address and a contact person. Both are provided in one annual package, and accounting is provided by Quintum OÜ (registry code 17024619, EMTAK 6920).

If your company already exists and you only need a contact person and registered address in Estonia, that is a separate service.

Frequently asked questions

Do I need e-Residency to form the company?
What the electronic formation service requires is that every person the Commercial Register requires to sign can use an accepted electronic-identification and digital-signature method, and that the proposed structure can be processed through the standard electronic formation procedure. e-Residency is the usual way founders who are not Estonian residents meet that condition.
What does the EUR 310 fee cover?
It is a single fee covering our onboarding and compliance assessment, and — where you are approved and the Stage 2 agreement is validly executed — our standard electronic company-formation services through the Estonian e-Business Register. No separate professional company-formation fee is charged on top of it.
What is not included in that fee?
The Estonian state registration fee; the annual registered-address, contact-person and mail-forwarding package; the optional VAT registration application submission service; accounting services provided by Quintum OÜ; non-standard legal, tax, corporate or restructuring work; and third-party fees and costs.
Who receives the state fee?
The Estonian State. It is payable directly by you to the Estonian State through the e-Business Register, and it is not charged, invoiced or received by JusTrust or Quintum. Any refund of it is governed exclusively by the applicable state procedure.
Is my company registration guaranteed?
No. Payment does not guarantee compliance approval, acceptance as a customer, approval of a proposed company name, registration of the company, VAT registration, or completion within any particular period. The decision whether to register the company is made exclusively by the Estonian Commercial Register.
Can I get the EUR 310 fee back?
It is fully refundable only if you cancel before we have commenced any substantive compliance assessment activity — for example automated sanctions or PEP screening, an identity-verification session, manual document review, beneficial-ownership review, or source-of-funds review. Once any such activity has commenced the fee is fully earned and non-refundable, including if the application is rejected, abandoned or not completed. If we cancel the assessment before any substantive activity has commenced, the fee is refunded in full.
What is in the annual EUR 200 package?
Use of the JusTrust address as the company registered legal address, appointment of JusTrust as the registered contact person, and the mail-receipt and forwarding services. It runs for an initial 12-month term and is mandatory for that term.
What can the contact person do on my behalf?
The role is limited to receiving procedural documents and declarations of intent. JusTrust does not act as a management board member, director, agent, proxy, authorised signatory or legal representative, and has no authority to enter into transactions, make decisions, accept commercial liabilities, operate bank or payment accounts, or assume obligations on behalf of the company.
Can I use the address as my office?
No. You may use it as the registered legal address in official registers, invoices, contracts, bank and payment-service applications and mandatory corporate disclosures. It must not be represented or used as a physical office, place of effective management, warehouse, returns address, customer-service location, licensed premises, operational establishment, meeting location, or a place where employees, goods or business records are physically based.
Are there annual fees after the first year?
Yes. The registered-address, contact-person and mail-forwarding package renews annually. Renewal requires payment of the renewal fee, completion of any required KYC, compliance or risk update, our consent to continue acting, and timely digital signature and submission of any required Commercial Register application before the existing registered term expires. Paying a renewal invoice on its own does not extend the registered term of the contact person.
Is there a state fee for the contact person entry?
Yes, whenever the appointment requires a Commercial Register application. Entering or changing a company's registered contact person is an amendment of registered data, and the Estonian State charges a state fee of EUR 25 for it. Any state or registry fee applicable to an extension, reappointment or new appointment is payable by you, directly to the Estonian State. It is not charged, invoiced or received by JusTrust or Quintum.
Is accounting included?
No, it is charged separately by Quintum OÜ under the applicable Accounting Schedule. It is, however, contractually required: to support transaction monitoring and compliance under RahaPTS, clients use Quintum for Estonian statutory bookkeeping, applicable Estonian tax filings and annual reports.
Does an Estonian company remove my tax obligations at home?
Our formation, VAT submission and registered-address services do not constitute legal advice, tax advice, accounting advice outside the agreed accounting services, or professional structuring advice.
